ReelSignal Terms of Service

1. Who we are

ReelSignal is an independent analytics tool that helps creators and brands understand the performance of their Instagram Reels. ReelSignal is not affiliated with, endorsed by, or sponsored by Instagram or Meta Platforms, Inc.

ReelSignal is operated by Graham Labs LLC, a Pennsylvania limited liability company.

2. Eligibility

You must be able to form a binding contract under applicable law to use the Service. The Service is intended for adults who manage Instagram Business or Creator accounts. By using the Service, you represent and warrant that you meet these requirements and that you will comply with these Terms and all applicable laws.

3. Your account and security

To use ReelSignal, you may be required to sign in via Facebook or Instagram using Meta's authentication flows. You are responsible for any activity that occurs under your account and for maintaining the security of your devices and credentials.

You agree to notify us promptly at support@reelsignal.app if you suspect any unauthorized access to or use of your account.

Your use of Instagram and Facebook remains subject to their own terms and policies. You must comply with Instagram's and Meta's platform terms at all times when using the Service.

4. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive,

non-transferable, revocable license to access and use the Service solely for your own Instagram analytics and internal business purposes.

You agree that you will not:

• Use the Service for any illegal purpose or in violation of any law or regulation.
• Attempt to circumvent Instagram's or Meta's rate limits, technical protections, or platform policies.
• Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying models of the Service, except to the extent permitted by law.
• Resell, sublicense, or otherwise make the Service available to third parties as a separate competing product without our prior written consent.
• Use the Service to create or train a competing analytics product based directly on ReelSignal's proprietary scoring or UI.

The Service currently provides read-only analytics. We do not post content, like, comment, or take other actions on your behalf on Instagram or Facebook.

5. Subscriptions and payments

ReelSignal may offer free access, paid subscriptions, trials, or other pricing plans. Specific pricing, billing, and plan details, if applicable, will be described in the Service or in a separate agreement.

At this time, ReelSignal may be available in a limited beta or "early access" mode without a paid subscription. We reserve the right to introduce paid plans or change pricing in the future. Any such changes will be communicated in advance where required by law.

6. Intellectual property

The Service, including its design, features, code, algorithms, analytics, and branding (excluding your own content and Instagram content) are owned by ReelSignal or its licensors and are protected by intellectual property laws.

You retain any rights you have in your own content and in the content you publish to Instagram. By using the Service, you grant us a limited, non-exclusive, worldwide license to access, store, and process Instagram content and related data solely as needed to provide the Service to you.

Nothing in these Terms grants you ownership of any intellectual property rights in or to the Service or any rights to use the ReelSignal name, logo, or branding except as necessary to use the Service under these Terms.

7. Privacy

Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your information. Please read it carefully.

8. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that using ReelSignal will increase your reach, engagement, or revenue, or that the analytics or recommendations will be error-free or suitable for your specific use case.

We do not control Instagram, Facebook, or Meta's APIs, and those services may change, experience outages, or revoke access at any time. Such changes may affect the operation of ReelSignal.

9. Limitation of liability

To the maximum extent permitted by law, ReelSignal and Graham Labs LLC, affiliates, and service providers will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service.

To the extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars (USD $100).

10. Indemnification

You agree to indemnify and hold harmless ReelSignal and Graham Labs LLC, affiliates, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service;
• Your violation of these Terms; or
• Your violation of any rights of another person or entity.

11. Termination

You may stop using the Service at any time, including by revoking access in your Meta account settings.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (such as ownership, disclaimers, limitations of liability, and indemnification) will continue to apply.

12. Changes to the Service and Terms

We are constantly improving ReelSignal and may add, remove, or change features at any time. We may also update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page.

If you continue to use the Service after changes take effect, you agree to the revised Terms. If you do not agree, you must stop using the Service.

13. Governing law

These Terms and any dispute arising out of or related to them or the Service will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws principles.
